Item 5.02:

Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

(c) The Board of Directors of Cybex International, Inc. (“Cybex”) has appointed Arthur W. Hicks, Jr. President, effective as of January 1, 2008. Mr. Hicks’ full title is President, Chief Operating Officer and Chief Financial Officer. Officers are appointed by the Board of Directors and serve at the pleasure of the Board.

Mr. Hicks, 49, has served Cybex as Chief Operating Officer since 2006, as Chief Financial Officer since 2002 and as director since 1997. He also held the title Executive Vice President of Cybex from January 1, 2006 until his appointment as President. Prior to 2006, Mr. Hicks served Cybex through a service agreement between Cybex and UM Holdings, LTD., where he was employed as Chief Financial Officer since 1988.
