Item 5.02.

Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 5, 2009, David R. Maccarelli, Executive Vice President, President – Wireline of NTELOS Holdings Corp. (the “Company”), notified the Company that he would be retiring effective June 30, 2009.

On May 7, 2009, the Company issued a press release announcing the upcoming retirement of Mr. Maccarelli. This press release also announced the appointments, effective July 1, 2009, of Frank L. Berry to succeed Mr. Maccarelli as Executive Vice President, President – Wireline and of David J. Keller as Senior Vice President – Wireline Sales and Customer Care. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
